The Philippines.- DigiPlus has received approval from shareholders of International Entertainment Corporation (IEC) to acquire HK$1.6bn (US$204.6m) in convertible notes, bringing it closer to becoming the controlling shareholder of the Hong Kong-listed operator.
Once fully converted, the notes would translate into a 53.89 per cent shareholding for DigiPlus, positioning the Philippine firm as IEC’s largest investor. In a filing by IEC, the company stated that the resolutions were adopted with 100 per cent approval at the Extraordinary General Meeting held on February 26.
Since the shareholding would place DigiPlus above the takeover threshold under Hong Kong’s Takeovers Code, IEC has secured a Whitewash Waiver from the Securities and Futures Commission’s Executive, exempting the Philippine firm from making a mandatory general offer upon conversion. The waiver passed with over 75 per cent of votes from independent shareholders.
IEC also obtained consent from to allow part of the proceeds from the convertible notes issuance to be used for the early repayment of promissory notes.
In an earlier statement, IEC noted that the deal would strengthen liquidity and help fund its long-term investment plans, including a $1–1.2bn obligation to convert its Pagcor-licensed New Coast Hotel Manila into a full integrated resort. The company confirmed in its 2025 half-year earnings report, released Wednesday, that the renovated Manila resort will hold a grand reopening in July.
