The company’s remuneration report received more than 25 per cent of votes against, triggering a first strike under Australia’s corporate governance rules.
While the resolution passed, the level of dissent places the board on notice to address concerns ahead of next year’s AGM to avoid escalation to a potential second strike.
Directorship renewal proposals saw mixed results. Graeme Campbell, Haig Asenbauer and Birgit Wimmer received shareholder backing, while close to three quarters of shareholders voted against the proposal of Samuel Levy as a non-executive director. Levy’s nomination had attracted attention due to support from minority investor Kjerulf Ainsworth.
Shareholders also rejected two special resolutions proposing constitutional amendments and the renewal of proportional takeover provisions.
